3. Service Terms

A. Project Scope

Services are provided based on written proposals, contracts, or scope of work documents.
Scope changes or additional requests may incur additional fees.
We reserve the right to decline projects outside our expertise or values.

B. Payment Terms

D. Revisions

Additional revisions beyond the agreed scope may incur extra fees.
We reserve the right to limit revisions if they substantially change the project scope.

4. Intellectual Property

A. Work Product Ownership

Upon full payment, custom deliverables created for you (website design, branding materials, content) become your intellectual property.
You have the right to use these materials for your business purposes.
Uzair Visuals retains rights to use your project as a portfolio case study with your permission.

B. Pre-Existing IP

We retain ownership of our processes, methodologies, templates, tools, and software.
Third-party components (WordPress themes, plugins, stock photos, fonts) remain subject to their respective licenses.
You may not redistribute, resell, or rebrand our proprietary tools or methodologies.

C. Your Content

You grant us a license to use your content (text, images, logos) solely for delivering the contracted services.
You represent that you own or have rights to all content you provide.
You are responsible for ensuring content does not infringe third-party rights.

5. Limitation of Liability

Uzair Visuals is not responsible for indirect, incidental, special, or consequential damages (lost profits, revenue, data, business opportunities).
Our total liability is limited to the amount paid for services in the immediately preceding 12 months.
We are not liable for third-party service failures (hosting, payment processors, email providers).
We do not guarantee specific results, rankings, traffic, or conversions from SEO or marketing services.

6. Warranties & Disclaimers

DISCLAIMER: Our services are provided “AS IS” without warranties of any kind, either express or implied.

We do not warrant that services will be uninterrupted, error-free, or meet your specific expectations.
SEO, marketing, and growth services involve inherent uncertainties and market variables beyond our control.
Search engine rankings depend on algorithm changes, competition, and numerous external factors.
Results vary based on industry, competition, content quality, and implementation consistency.

7. Client Responsibilities

Provide accurate, complete, and timely information needed for project delivery.
Make decisions on project direction and approve deliverables within agreed timelines.
Maintain website security, backups, and hosting responsibility (where applicable).
Ensure content provided is original, accurate, and complies with laws.
Communicate clearly about expectations, feedback, and revisions.

8. Termination

Either party may terminate services with written notice (terms vary by project).
Early termination may result in fees for work completed and expenses incurred.
Upon termination, you are responsible for website hosting, maintenance, and future updates.
We will transfer ownership of deliverables and credentials as agreed.

9. Confidentiality

Both parties agree to keep confidential information private.
Confidential information includes business strategies, financial data, passwords, and proprietary processes.
We may disclose information if required by law or court order.
Client information is protected under our Privacy Policy.

10. Indemnification

You agree to indemnify and hold Uzair Visuals harmless from claims, damages, or losses arising from:

Your violation of these terms or applicable laws.
Content you provide that infringes third-party rights.
Your misuse of deliverables or services.
Claims by third parties related to your business operations.

11. Dispute Resolution

These terms are governed by applicable law in the jurisdiction where Uzair Visuals operates.
Disputes will first be addressed through good-faith negotiation.
